DEFINITIONS.

  1. Accounting Period has the same meaning as provided in s. 5(1) of the Financial Reporting Act 2013 and any subsequent amendments. 

  2. Accredited Body means a person that is granted accreditation, or is treated as having been granted accreditation, under subpart 5 of Part 2 of the Auditor Regulation Act 2011 and any subsequent amendments. 

  3. A Person Conducting a Business or Undertaking (PCBU) has the same meaning as s. 17 of the Health and Safety Act 2015 and its subsequent amendments. 

  4. Appointed Chairperson is a person appointed by the President of the Club to conduct business in any meeting in place of the Club’s President. 

  5. Appointed Minute Secretary is a person appointed by the President of the Club to take minutes in any meeting: 

    1. In support of the duties of the Secretary; and/or 

    2. For the specific purpose of the accurate recording of notes for compliance with this constitution and as required to comply with relevant law, statute, or legislation. 

  6. Balance Date means a the Club’s balance date as provided in s. 99 or 100 of the Incorporated Societies Act 2022

  7. Ballot means a system of voting secretly, and in writing, on a motion. 

  8. Bylaw means a rule made by the Club to control the actions of its members. 

  9. Club means the Tokoroa Golf Club Incorporated. 

  10. The Club’s President means the Elected President of the Executive Committee of the Tokoroa Golf Club Incorporated; and 

  11. The Club’s Secretary means the Elected Secretary of the Executive Committee of the Tokoroa Golf Club Incorporated; and 

  12. The Club’s Treasurer means the Elected Secretary of the Executive Committee of the Tokoroa Golf Club Incorporated; and 

  13. Complaint has the same meaning as provided in s. 38 of the Incorporated Societies Act 2022 and any subsequent amendments. 

  14. Constitution means this document. 

  15. Employee has the same meaning as provided in s. 6 of the Employment Relations Act 2000 and any subsequent amendments. 

  16. Employment Agreement has the same meaning as provided in section 5 of the Employment Relations Act 2000 and its subsequent amendments. 

  17. Employment Relationship has the same meaning as provided in section 4(2) of the Employment Relations Act 2000 and its subsequent amendments. 

  18. Employment Relationship Problem includes a personal grievance, a dispute, and any other problem relating to or arising out of an employment relationship, but does not include any problem with the fixing of new terms and conditions of employment.  This is the same meaning as s. 5 of the Employment Relations Act 2000 and its subsequent amendments. 

  19. Employer means a person employing any employee or employees; and includes a person engaging or employing a homeworker.  This is the same meaning as s. 5 of the Employment Relations Act 2000 and its subsequent amendments. 

  20. Executive Committee means the governing body of the society as defined in the EXECUTIVE COMMITTEE section of this constitution. 

  21. Expulsion is the termination of a Members membership of the Club. 

  22. For, with regard to voting for a motion means that person is in support of the motion as proposed becoming a resolution that the Club will have to take actions to adopt.   

  23. In favour, with regard to voting means that a person is in support of the motion as proposed becoming a resolution that the Club will have to take actions to adopt.  

  24. Against, with regard to voting for a motion means that the person does not support the motion as proposed becoming a resolution that the Club will have to take actions to adopt. 

  25. Not in favour, with regard to voting for a motion means that the person does not support the motion as proposed becoming a resolution that the Club will have to take actions to adopt. 

  26. Golf means the recreation of playing Golf on an officially registered Golf Course measuring over 4,000 yards with a par rating of at least sixty-eight (68) for eighteen (18) holes of play, or that has multiple eighteen (18) hole Courses of at least 4,000 yards each, within the resort and operated by the same management, that is accessed by a prepaid use ticket for rounds, play time, and/or use or admission. However, Golf or Golfing does not include miniature, executive or par-3 courses, or Golf that takes place where discounted rates are in effect for “twilight,” early evening, winter season, or nighttime play; and 

  27. Member means a member of the Club as defined in the TYPES OF MEMBERSHIP section of this constitution.  

  28. Minor Technical Amendments has the same meaning as provided in s. 31 of the Incorporated Societies Act 2022 and any subsequent amendments. 

  29. Motion means a proposal that that is put before a meeting for discussion and a decision.  If a motion is passed it becomes a resolution.  Resolutions are binding and should be recorded in the minutes of the meeting.

  30. Officer, with regard to voting processes means a person either elected to a committee or appointed to a subcommittee.  Disambiguation:  Were an Officer is elected to the Executive Committee they are also a member of the Club for the purposes of Voting.  Where an Officer is appointed to a Subcommittee and is not a member of the Club, the officer does not have voting rights. 

  31. Officer, with regard to the Employment Relations Act 2000 has the same meaning as provided in s. 142W(3)(d) of the Employment Relations Act 2000

  32. Officer with regard to the Club means an Officer of the Executive Committee

  33. Officer of the Executive Committee means a person elected by membership to occupy the position of an Officer’s on the Executive Committee, or, a person the society that allows the person to exercise significant influence over the management or administration of the society pursuant to section 5(a)(ii) of the Incorporated Societies Act 2020 and its subsequent amendments. 

  34. Policy means course or principle of action adopted or proposed the Club. 

  35. Procedure means  a method for completing something with steps and instructions for each aspect of the task.

  36. Practice means the actual application or use of an idea, belief, or method, as opposed to theories relating to it.  

  37. Proposer of Proposers means a person or persons who are proposing a motion. 

  38. Proxy vote means a vote cast by one person as a representative of another. 

  39. Quorum means the minimum number of members of a deliberative assembly if the Club necessary to conduct the business of the Club. 

  40. Resolution is a statement that requires actions of the Club.  A resolution is the result of a vote on a motion

  41. Rule means one of a set of explicit or understood regulations or principles governing conduct or procedure within a particular area of activity.

  42. Show of hand means a physical raising of a hand in a manner visible to the visual acuity of those counting a vote. 

  43. Seconder or Seconders means a person or persons who are in support of the person proposing a motion. 

  44. A Society means a group of people, from the date of incorporation set out in the certificate of incorporation, a Body Corporate with the following conditions: 

    1. Having perpetual succession; and 

    2. Having the capacity, rights, powers, and privileges within and outside New Zealand to: 

      1. In full capacity carry on or undertake any activity, do any act, or enter into any transaction; and 

      2. With full rights, lawful powers, and lawful privileges to conduct activities for the purposes of the society; and 

      3. Whilst historically have possessed no bodies to be punished, nor souls to be condemned, who now 

      4. Are required to act: 

      5. For lawful purposes other than for the financial gain of any of their Members; and 

      6. On behalf of Members who have the primary responsibility for holding the society to account; and 

      7. In a manner that promotes the trust and confidence of their Members; and 

      8. As self-governing private bodies that in accordance with their constitutions, any bylaws, and their own tikanga, kawa, culture, and practice, and should be free from inappropriate Government interference; and 

      9. Not to distribute profits or similar financial benefits to their Members. 

    3. A Society continues in existence until it is removed from the register

  45. Subcommittee means a committee to perform specific tasks such as those provided in the SUBCOMMITTEES section of this constitution. 

  46. Tikanga means customary practices or behaviours.  

  47. Volunteer Worker has the same meaning as s. 19(3) of the Health and Safety at Work Act 2015 and it’s subsequent amendments. 

  48. Worker has the same meaning as provided in s. 19 of the Health and Safety at Work Act 2015 and its subsequent amendments. 

  49. Workplace has the same meaning as provided in s. 20 of the Health and Safety at Work Act 2015 and its subsequent amendments. 


STAKEHOLDER SUBMISSIONS

G-7; 1-e; I am pleased you have included this. There have been many members here abusing this. Decidng not to play anymore  and cancelling their AP's. The contract is an annual contract not a weekly contracat.

Plus the treasurer is also appointed according to Sec N-14

N-30 Duties of Secretary;1 The secretary of the club is a person who is democratically elected by the club's membership...... seems to be contrary to what is written in sec N-14 which says the secretary is not elected but appointed by the executive committee?????

I believe our Fees should increase every at the rate of 3%.

The CPI to March 2023 is 7.7%

The 3% would be $17.91 an increase of 34cents per week.

I submit that we change our club shield to something that represents Tokoroa better. My design has the old products tree for history and dark green for grass and trees. The axes for the bushmen and the stag for the Tokoroa pines hunting abundance. It can be used for ball markers and shirts to sell. Another good revenue stream

Sub-committee should be made up of Vice President, House Captain (kitchen, restaurant, clubhouse) , Shop Manager, Greens Convenor, Match Committee, Sponsorship Convenor

 

Each sub-committee reports to the following:

House Captain reports to President

Shop Manager reports to President

Match Committee reports to Club Captain

Greens Convenor reports to Club Captain

 

Operations Manual should be developed to include

The shop manager should be given a delegation of spend before prior approval is sought from the Exe-committee

The House Manager should be given a delegation of spend before prior approval is sought from the Exe-committee

Greens Convenor should be given a delegation of spend before prior approval is sought from Exe-committee

 

The election of offices of Executive Committee is voted at the Annual AGM.

 

We require clarification on the role and responsiblities of the exe-committee.

 

First order of business for Exe committee is to seek nominations/recommendations for the roles of secretary and treasure. Each candidate must provide in writing their skills and experience to conduct these roles.

 

The term of office for the Secretary and Treasurer is 3-years but can be re-elected following a minimum of 12-month period stand-down. There is a 2-month handover period to any new role.

 

What are the rules and timeframes around the election of officers?

Exe committee elect a Electoral officer for the AGM (could this be the secretary?)

Who is eligible to vote at the AGM. Do you need to be present at the AGM to cast your vote? Is advance or early voting permitted.

 

this should be made up of:

Club Captain

Ladies Captain

Vets Convenor

Past President

A description of the role and responsibilites of each role

I believe the secretary and Treasurer

should have voting rights if a paid position then no. I believe these are key positions in the organisation and they are working positions with hands on.

I believe we do not need a vice president when we have a president and pass president on the executive.

 

The vice president doesn't need to make a report, as the president in his report, will be reporting on events ther club has conducted, and how the committee has performed and the acheivments they've completed.

The immediate past president will automatically fill this position upon being deposed as the president from the last executive committee. And shall stay in this position until s/he resigns, or is removed as contained in this constitution. The appointment of past president will be conducted as contained within this constitution of appointments.

That the Annual General meeting of the Tokoroa golf club be held no later than the 15th of December in any calender year.

Life membership. Where it says life membership can only be by referral of the executive.

Should read, Life membership would normally be referred/only by the executive of the Tokoroa golf club executive committee, should also allow for a resolution from within the membership as prescribed by motions by a mover/seconder as contained in this constitution.

Or a referral somewhere that allows this to be done.

The annual general meeting will be held yearly, and conducted before the 15th of December in any one year.


Absence from meetings. Not with out the express permission of the President upon each request made on each occassion which may arise.

The executive committee should consist of:  


1 x President.

1 x Past President.

1 x Vice President.

1 x Men's Club Captain.

1 x Ladies Club Captain.


Treasurer and Secretary are not elected by appointed.  

There are not to many lions native to Aotearoa.
